A. Eligibility
Membership is open to individuals 18 years of age or older. By registering, you represent that you meet this requirement.
 
B. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access. You may not share your account with others.
 
C. Membership Benefits
Benefits are exclusive to verified, active members. COOLEYS CIRCLE LLC reserves the right to modify, add, or remove benefits at any time.
 
D. Membership Fees
If applicable, membership fees are clearly disclosed at the time of enrollment. Fees are non-refundable unless otherwise stated.
 
4. Merchant Participation
 Merchants who join Cooley's Circle agree to: Provide accurate business information during onboarding.  Honor promotions and coupons offered to COOLEYS CIRCLE LLC members.  Maintain the standards expected of a vetted, trusted business  Notify COOLEYS CIRCLE LLC of any changes to their business or promotions.  COOLEYS CIRCLE LLC reserves the right to remove any Merchant from the network for failure to meet community standards.
 
5. Coupon and Promotion Terms
 Coupons and promotions are available only to logged-in members with active accounts.  Each promotion is subject to its own specific terms set by the participating Merchant.  Coupons are non-transferable and may not be combined unless explicitly stated.  COOLEYS CIRCLE LLC is not responsible for a Merchant's failure to honor a promotion; however, we take member concerns seriously and will address issues on a case-by-case basis.
 
6. Community Connectors  
 Community Connectors are individuals who actively refer new members and merchants to the network. By participating as a Community Connector, you agree to: Represent COOLEYS CIRCLE LLC honestly and accurately.  Not engage in spam,
misrepresentation, or high-pressure tactics.  Comply with all applicable laws regarding referral and affiliate marketing.  COOLEYS CIRCLE LLC reserves the right to remove any Community Connector who violates these standards.

7. Acceptable Use
You agree NOT to: Use the platform for any unlawful purpose.  Harass, impersonate, or harm other members, merchants, or staff.  Distribute spam, unsolicited communications, or malicious content.  Attempt to gain unauthorized access to our systems.  Misrepresent your identity or business affiliation.  Violations may result in immediate termination of membership without refund.

8. Intellectual Property
All content on the COOLEYS CIRCLE LLC platform — including logos, text, graphics, and designs — is the property of COOLEYS CIRCLE LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or use our content without written permission.

9. Third-Party Links & Services
Our platform may link to third-party websites or services. COOLEYS CIRLCE LLC is not responsible for the content, privacy practices, or terms of any third-party site. Use third-party services at your own risk.

10. Disclaimer of Warranties
COOLEYS CIRCLE LLC provides its services "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or that results from use of the service will meet your expectations.

11. Limitation of Liability
To the fullest extent permitted by law, COOLEYS CIRCLE LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of our services, even if advised of the possibility of such damages.

12. Indemnification
You agree to indemnify and hold harmless COOLEYS CIRCLE LLC, its founder, affiliates, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of the platform.

13. Termination
COOLEYS CIRCLE LLC reserves the right to suspend or terminate any account at its sole discretion, with or without notice, for violations of these. Terms or any other conduct deemed harmful to the community.

14. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the appropriate courts located in Illinois.

15. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We will notify active members of material changes.
